These Terms of Service (“Terms”) explain how Tellem Technologies, LLC (“Tellem,” “we,” “us,” or “our”) provides its services and the conditions under which you (“User,” “you,” or “your”) may access or use our websites, applications, AI features, and other related offerings (collectively, the “Services”). By creating an account, subscribing, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not use the Services.
Please note that these Terms do not create any additional legal rights or obligations beyond those that may otherwise exist under applicable law.

Tellem is a Delaware limited liability company. All disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state or federal courts located in New York, unless otherwise required by applicable law.
These Terms form a legally binding agreement between Tellem and any individual who accesses or uses our Services. You must be at least eighteen (18) years of age to use Tellem. By accessing or using our Services, you represent that you are legally capable of entering into these Terms. If you do not meet this requirement or do not agree to these Terms, you must not use the Services.
We may periodically update these Terms to reflect changes to our Services, legal requirements, or for other operational reasons. When material changes occur, we will provide notice (for example, via email or a prominent notice on our Services). Your continued use of Tellem after the updated Terms become effective constitutes your acceptance of the changes.
Tellem provides AI-driven language-learning capabilities, which may include text and voice-based interactions. As part of our Services, we may clone the voices of tutors or third parties (“Tutors”) with their consent, and our AI features may generate responses (“AI Output”) that facilitate language practice. While we strive to deliver accurate and helpful content, the AI Output may be incomplete, inaccurate, or reflect “hallucinations.” These AI-generated statements are not endorsements, opinions, or guarantees by Tellem or by any Tutor.
Users are solely responsible for verifying the accuracy and suitability of any AI Output before relying on or disseminating it. Tellem makes no warranty concerning the correctness or reliability of the AI Output, and we disclaim liability for any harm that may result from its use.
To access certain features, you may be required to create an account. You must provide accurate and complete information and promptly update it if it changes. You are responsible for any activity under your account and must keep your login credentials secure. If you suspect unauthorized access or misuse, you should notify us immediately at help@tellem.org. We reserve the right to suspend, terminate, or restrict access to your account at any time if we believe you have violated these Terms or applicable law.
Some features of Tellem require a paid subscription. We may offer a three-day free trial; if you do not cancel before the trial ends, your subscription will automatically begin, and we will charge the corresponding monthly fee.
Your subscription renews automatically each billing cycle unless you cancel. If you cancel, you may continue to use the paid features until the end of your current billing period, and you will not be charged for subsequent periods. Fees are nonrefundable except as required by law. Payment processing is handled by third-party providers (e.g., Stripe, Apple App Store, Google Play), and their terms may also apply. You agree to use Tellem in a lawful manner and to refrain from conduct that could damage, disable, or impair our Services or the experience of other users. Specifically, you must not:
If we determine, in our sole discretion, that you have violated these Terms, we may take action including suspending or terminating your account and/or reporting your activity to law enforcement.
Tellem may feature the cloned voices, likenesses, or images of Tutors who have consented to participate. These Tutors are not responsible for AI Output or any statements the AI generates in their voices. Neither Tellem nor Tutors can guarantee the accuracy or appropriateness of AI-generated content.
Users of Tellem may also create or upload content (e.g., voice recordings, text messages, or other data). While you retain ownership of any content you create or provide, you grant Tellem a non-exclusive, worldwide, royalty-free, sublicensable license to store, reproduce, adapt, modify, translate, and otherwise use that content to provide and improve Tellem’s Services.
Tellem operates under a revenue-sharing model where a portion of your subscription fee may be shared with the teacher whose AI persona you use. This revenue-sharing arrangement helps support teachers who contribute their expertise and voice to our platform. Tellem reserves sole discretion to determine final attribution in all cases and reserves the right to modify these arrangements. These revenue-sharing relationships do not entitle users to negotiated terms or additional rights beyond those detailed in these Terms.
Unless otherwise indicated, Tellem owns or controls all rights, titles, and interests in the Services, including trademarks, logos, text, software, and visual elements. You may not copy, distribute, or create derivative works based on Tellem’s materials, except as permitted by these Terms or applicable law.
All AI Output generated while using Tellem remains subject to these Terms. Although Tellem does not claim ownership of AI Output you receive, we may store and process such output to refine and enhance our technology.
Tellem, including all AI functionality and Tutor voices, is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any AI Output will be accurate or suitable for your needs. You assume all risks associated with any reliance on AI Output.
To the fullest extent allowed by law, Tellem is not liable for any indirect, incidental, consequential, special, or punitive damages (including lost profits, data, goodwill, or business opportunities) arising from or related to your use of our Services, even if we have been advised of the possibility of such damages. In no event shall our total liability to you exceed the greater of the amount you paid us for the Services in the preceding three (3) months or one hundred U.S. dollars (USD $100).
We are not responsible for actions taken by Tutors, other users, or third parties, and we disclaim liability for any misuse of the Services by others.
You agree to defend, indemnify, and hold harmless Tellem and its officers, directors, employees, agents, and partners from any claims, losses, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising out of or related to your use or misuse of our Services, your violation of these Terms, your violation of the rights of any third party, or your creation or dissemination of any content through Tellem’s platform.
These Terms and any disputes arising out of or relating to them are governed by the laws of the State of New York, without regard to conflict-of-law rules. All claims shall be brought exclusively in the state or federal courts located in New York. You consent to the personal jurisdiction of these courts and waive any argument that such forums are inconvenient.
These Terms do not include an arbitration clause or class-action waiver. You agree to resolve any disputes on an individual basis before the applicable courts in New York.
Tellem reserves the right to modify or discontinue any part of the Services at any time, with or without notice. We are not liable to you or to any third party for any modification, suspension, or discontinuation of the Services. If we terminate your account or access to Tellem for violation of these Terms, you will not be entitled to any refunds or credits unless otherwise required by law.
These Terms, along with our Privacy Policy, constitute the entire agreement between you and Tellem regarding your use of the Services and supersede all prior or contemporaneous communications and proposals. No failure or delay by Tellem to exercise any right shall be a waiver thereof. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
